Terms of Service

These Terms of Service ("Terms") govern your access to and use of raedamarketing.com, the Raeda Analytics website and application, and related products, features, software, and services (collectively, the "Service") operated by Raeda Marketing ("Raeda," "we," "us," or "our").

By accessing or using the Service, creating an account, connecting a third-party account, or otherwise using Raeda Analytics, you agree to these Terms.

If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

01Who can use the Service

The Service is intended for businesses and individuals acting in a business or professional capacity, including e-commerce brands, retailers, marketplaces, agencies, marketers, analysts, and organizations managing commerce or advertising accounts.

You must be at least 18 years old and legally capable of entering into these Terms.

If you use Raeda on behalf of an organization, you represent that you have authority to do so.

02Early access and waitlist

Joining the Raeda Analytics waitlist does not guarantee access to the Service or access by any particular date.

During early access, beta testing, or other limited-release periods, features may:

• Change without notice
• Be incomplete
• Contain errors
• Be added or removed
• Have usage limitations
• Produce preliminary or experimental results

We may prioritize, limit, delay, or decline access at our discretion while developing and scaling the Service.

03Accounts

Certain features of Raeda Analytics may require an account.

You are responsible for:

• Providing accurate account information
• Maintaining the confidentiality of your login credentials
• Maintaining appropriate security for your account
• All activity conducted through your account
• Promptly notifying us if you believe your account has been compromised

You may not share credentials in a manner that circumvents applicable account or usage restrictions.

04Connected accounts

Raeda Analytics allows you to connect supported third-party commerce, marketplace, advertising, and analytics accounts.

Supported integrations may include services such as:

• Shopify
• Amazon Seller Central and Vendor Central
• Amazon Ads
• Meta Ads
• Google Ads
• TikTok Ads
• Other platforms supported by Raeda

By connecting an account, you authorize Raeda Analytics to access and process information from that account according to the permissions you grant through the applicable third-party authorization process.

You represent and warrant that you have all rights, permissions, and authority necessary to:

• Connect each account
• Grant Raeda access to the account
• Permit Raeda to process data obtained from the account
• Use the resulting analytics and reporting through the Service

You remain responsible for your accounts and for complying with the terms and policies of each third-party service.

Raeda's access to connected accounts is subject to the availability, functionality, policies, APIs, and technical limitations of those third-party services.

Third-party services may modify, suspend, restrict, or discontinue access to their APIs or other functionality at any time. Raeda is not responsible for interruptions or changes caused by third-party platforms.

05Permissions and account actions

Raeda may request different permissions depending on the integrations and features you choose to use.

Where possible and appropriate, Raeda may initially use read-only access to retrieve reporting and analytics information.

Raeda will not intentionally create campaigns, modify advertising budgets, change bids, publish content, modify products, spend advertising funds, or perform other material actions within a connected account unless:

• the applicable Raeda feature supports that action;
• you have granted the permissions required to perform it; and
• the action is authorized through the Service.

Additional terms, confirmations, or controls may apply to features that modify third-party accounts.

06Customer Data

"Customer Data" means information, data, content, and materials you submit to the Service or authorize Raeda to access from your connected accounts.

As between you and Raeda, you retain your rights in Customer Data.

You grant Raeda a limited, non-exclusive right to access, host, copy, process, transmit, transform, analyze, and display Customer Data solely as reasonably necessary to:

• Provide the Service
• Maintain and secure the Service
• Generate requested reports and analytics
• Provide attribution and measurement functionality
• Generate insights and recommendations
• Troubleshoot technical issues
• Improve functionality as permitted by our Privacy Policy
• Comply with applicable legal requirements

This license does not transfer ownership of Customer Data to Raeda.

Our handling of personal information and connected-account information is described further in our Privacy Policy.

07Analytics, attribution, and recommendations

Raeda Analytics provides analytics, reporting, attribution, incrementality analysis, performance measurement, modeling, and recommendations based on available data and analytical methodologies.

Marketing and commerce measurement is inherently subject to uncertainty.

Results may be affected by factors including:

• Incomplete or inaccurate source data
• Attribution-window differences
• Tracking limitations
• Privacy restrictions
• Platform methodologies
• Changes made by third-party platforms
• Missing customer journeys
• Offline activity
• Statistical uncertainty
• Modeling assumptions
• Data delays
• API availability
• Market conditions
• Other factors outside Raeda's control

Accordingly, Raeda does not guarantee that any attribution model, incrementality estimate, forecast, recommendation, or other analytical output is perfectly accurate or represents the sole cause of a particular business outcome.

Raeda's outputs are intended to support business decision-making, not replace professional judgment.

08No guarantee of business results

Raeda does not guarantee:

• Increased revenue
• Increased profitability
• Increased return on advertising spend
• Reduced advertising costs
• Improved marketing performance
• Specific incremental revenue
• Specific marketplace performance
• Any particular business or financial result

You remain responsible for decisions made using information provided through the Service.

Nothing provided by Raeda constitutes financial, investment, tax, accounting, or legal advice.

09Acceptable use

You agree not to:

• Use the Service in violation of applicable law or regulation
• Use the Service in violation of a connected platform's applicable terms or policies
• Connect an account you are not authorized to access
• Attempt to gain unauthorized access to the Service or another user's account
• Attempt to bypass authentication, security, usage, or access controls
• Reverse engineer, decompile, or attempt to derive the source code of the Service except where expressly permitted by applicable law
• Interfere with or disrupt the operation, integrity, performance, or security of the Service
• Introduce malicious software, code, or other harmful materials
• Use automated systems to access the Service in a manner that materially exceeds reasonable use or violates applicable restrictions
• Use the Service to unlawfully collect, process, or disclose personal information
• Misrepresent your identity or affiliation
• Resell or commercially exploit the Service except as expressly authorized by Raeda

We may suspend or terminate access for violations of these requirements.

10Third-party services

Raeda Analytics integrates with services operated by third parties.

Your use of third-party services is governed by the terms and policies of those third parties.

Raeda does not control and is not responsible for:

• The availability of third-party services
• Changes to third-party APIs
• Changes to third-party policies
• Errors originating from third-party data
• Suspensions or restrictions imposed by third parties
• Third-party security incidents
• Features discontinued by third-party providers

An integration may stop functioning or change if the applicable third-party service changes its systems, permissions, APIs, policies, or availability.

11Intellectual property

The Service, including its software, design, interfaces, models, methodologies, documentation, text, graphics, trademarks, logos, and other Raeda content, excluding Customer Data, is owned by Raeda Marketing or its licensors and is protected by applicable intellectual-property laws.

Subject to your compliance with these Terms, Raeda grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the period in which you are authorized to use the Service.

Except for Customer Data, nothing in these Terms transfers ownership of the Service or Raeda intellectual property to you.

12Feedback

If you provide ideas, suggestions, feedback, feature requests, or recommendations regarding Raeda Analytics, you grant Raeda the right to use that feedback without restriction or compensation to improve, develop, market, or operate the Service.

This does not grant Raeda ownership of your Customer Data.

13Service availability and changes

Raeda may modify, add, remove, suspend, or discontinue features of the Service from time to time.

We may perform maintenance that temporarily affects availability.

We do not guarantee that the Service, any integration, or any particular feature will always be available, uninterrupted, error-free, or compatible with every third-party platform.

Where commercially reasonable, we will attempt to provide notice of material changes that significantly affect customers.

14Security

Raeda uses reasonable safeguards designed to protect the Service and Customer Data.

You are responsible for maintaining appropriate security for your own systems, accounts, devices, credentials, and connected third-party services.

You agree to notify us promptly if you become aware of unauthorized access to your Raeda account or other security concerns relating to your use of the Service.

15Disclaimers

16Limitation of liability

Some jurisdictions do not permit certain limitations of liability, so some of these limitations may not apply to you.

17Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Raeda Marketing and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from or related to:

• Your violation of these Terms
• Your unlawful use of the Service
• Customer Data you provide or authorize Raeda to access
• Your violation of a third party's rights
• Your connection of an account you were not authorized to connect

18Suspension and termination

You may stop using the Service at any time.

Raeda may suspend or terminate your access if:

• You violate these Terms
• Your use creates a security or legal risk
• Required third-party access is revoked
• Payment obligations are not satisfied, where applicable
• Continuing to provide the Service is commercially or technically impractical
• We discontinue the Service

Upon termination, your right to use the Service ends.

Certain provisions of these Terms that by their nature should survive termination will remain effective, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

Treatment of Customer Data following termination is governed by our Privacy Policy and applicable agreements.

19Changes to these Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law, third-party requirements, or our business practices.

If we make material changes, we will update the "Last updated" date above and provide additional notice where appropriate or required by law.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

20Governing law

These Terms are governed by the laws of the jurisdiction in which Raeda Marketing is organized, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Service will be subject to applicable law and the jurisdiction of courts with authority over Raeda Marketing, unless otherwise required by applicable law or agreed in writing.
